F-M Soccer Club
Constitution and By-Laws
I. Name
This association shall be called the F-M Soccer Club.
II. Purpose
The purpose, for which the F-M Soccer Club was formed, is to foster, encourage and promote the playing of the sport of soccer in a recreational league for the children and families in the Fremont/Mills counties. This will be done through various means in order to develop and promote the qualities of physical fitness, competitive spirit, team play and good sportsmanship. This organization will act as a supporting role for those participating; both students and coaches or those in other capacities; and to foster and promote understanding in the fundamentals of soccer.
III. Membership
Membership in this club shall be limited to those residents of the Fremont or Mills county, which have completed the registration form for current season and paid dues in full set by the F-M Soccer Board.  The governing board shall set forth the age limitations for membership. Participating in special events, such as camp, does not imply membership.
Voting Members
Members of the F-M Soccer Board shall have voting rights during their term of service.
Non-Voting Members
All parents and sponsors players, and players playing in any of the programs of the, shall be non-voting members.
IV. Governing Body
The Board shall govern and administer the day-to-day operation of the association within the scope of the By-Laws and the policy guidelines set by the Board. The Board shall set policy guidelines, and make amendments to the Constitution and By-Laws.
Amendments
Once adopted, this Constitution and By-Law document, shall only be amended by a 3/4 vote of those present and voting at Board meetings.

BY-LAWS
EXECUTIVE BOARD
I. The Executive Board shall consist of four elected positions and no less than five supporting members. The elected positions will include: President, Vice President, Treasurer and Secretary. There will be a two year term for each of these positions with the understanding that the Vice President will succeed the President after two years. If for any reason the elected member cannot complete a two year term, the Executive Board will appoint a replacement.
II. Election of officers will take place at the July Executive Board meeting.
III. The day-to-day business of the F-M Soccer Club programs shall be managed by the Executive Board.
IV. Meetings of the Executive Board will be called on a monthly basis unless needed more often
V. The act of the majority, of those present and voting, shall be the act of the Executive Board.
VI. Where there are insufficient items to hold a meeting, the President may poll by telephone or email all the members of the Executive Board to obtain their vote and notify all Executive Board members of the vote decision prior to the next meeting.
VII. In the event of a vacancy in any of the elected offices through resignation or other causes, the Executive Board, by a majority vote may fill such a vacancy for the unexpired portion of the term.

COMMITTEES

  1. Committees may be formed for any specific purpose not contrary to the purpose of the F-M Soccer Club. All committees shall be appointed by the Executive Board.  The following are established committees of the F-M Soccer Club: Equipment, Field, Camp, Registration, and Fundraising.

GENERAL
I. No officer or other voting member of this association shall receive any fee for activities concerned with his or her official office in the F-M Soccer Club.
II. Payment for any personal expenses other than mail or telephone costs must be approved by a majority of the Executive Board.
III. Any Executive Board member has the authority to spend $50 without the approval of the Board for an item which promotes the purpose of the F-M Soccer Board.  Any amount over approved amount needs prior approval from at least two elected officers.

ELECTED OFFICERS DUTIES
President
I. Notifies the Executive Board of business meetings.
II. Calls to order business meetings of the Executive Board.
III. Functions as tie-breaking vote when vote does not meet 3/4 majority.
IV. Serves as supportive resource for all committees.

Vice-President
I. In the absence of the President, shall be acting President.
II. Shall perform other such duties as from time to time may be assigned by the President or the Executive Board.
III. Serves as supportive resource for all committees.
Treasurer
I. Collects and disburses funds as operational necessity dictates.
II. Manages bank accounts as necessary.
III. Keeps records of receipts and expenditures of the F-M Soccer Club.
IV. Renders a statement of financial condition at business meetings.
V. Assists any approved fund-raising committee
VI. Brings grant opportunities to the board and applies to approved funding sources.

Secretary
I. Coordinates and maintains all association correspondence within and outside the association.
II. Records minutes of all meetings.
III. Issues press releases and other F-M Soccer Club news as required.
IV. Assists the President in his/her duties.
